Oxalume — Terms of Service

1. Acceptance of Terms

These Terms govern your access to and use of Oxalume, an AI-assisted video creation and publishing platform operated by Digital Alchemy LLC.

By accessing or using Oxalume, you agree to these Terms and acknowledge our Privacy Policy.

You must be at least 18 years old and legally capable of entering into this agreement.

2. Service Description

Oxalume provides tools to plan, generate, render, manage and publish short-form videos.

Features may include AI-assisted scriptwriting, image generation, narration, subtitles, video composition, project history and authorized YouTube publishing.

Oxalume is currently offered as an invite-only beta. Features may change or be unavailable during development.

3. Accounts and Access

You are responsible for keeping your access token or other account credentials secret, and for activities conducted with them.

You must provide accurate information and must not share access in a way that compromises account security.

We may suspend access when reasonably necessary to address security threats, misuse or legal requirements.

4. AI-Generated Content

AI-generated content may contain errors, inaccuracies, unexpected visual elements or material similar to content produced for other users.

You are responsible for reviewing generated videos before publishing or distributing them.

Oxalume does not guarantee that generated content is factually accurate, original, copyrightable, suitable for a particular audience or free from third-party claims.

You must not rely on AI-generated content as professional medical, legal, financial or other regulated advice.

5. Your Content and Commercial Use

You retain any rights you have in content that you submit to Oxalume.

As between you and Digital Alchemy LLC, we do not claim ownership of your generated video outputs merely because they were created using Oxalume.

Subject to applicable law, third-party rights, provider terms and these Terms, you may use your generated videos for personal or commercial purposes.

Commercial use is not a guarantee of copyright ownership, exclusivity, noninfringement or trademark clearance.

You grant Digital Alchemy LLC a limited, nonexclusive license to process, store, reproduce and transmit your content solely as reasonably necessary to provide, secure and support Oxalume and carry out your authorized instructions.

6. Acceptable Use

You agree not to use Oxalume to:

Violate laws or infringe intellectual property, privacy or other rights.
Create fraudulent, deceptive or unlawful impersonation content.
Exploit or endanger children.
Distribute malicious code or attack the Service.
Circumvent security controls, quotas or access restrictions.
Upload material you lack permission to use.
Misrepresent AI-generated content where disclosure is required by law or platform rules.

We may remove content or restrict access where reasonably necessary to enforce these Terms or applicable law.

7. YouTube Integration

Oxalume may allow you to connect a YouTube channel through Google's authorization process.

By using YouTube features within Oxalume, you also agree to the YouTube Terms of Service.

You control whether to connect a channel and whether to authorize a video upload.

You are responsible for reviewing the destination channel, title, description, audience designation, visibility and other publishing settings before approving an upload.

You remain responsible for complying with YouTube's policies, including copyright rules and requirements concerning content made for children.

You may disconnect your YouTube channel in Oxalume or revoke access through the Google security settings page.

Disconnecting Oxalume does not automatically remove videos already uploaded to YouTube.

8. Beta Availability

Oxalume is currently an invite-only beta. Access is by invitation.

9. Availability and Service Changes

We aim to provide a reliable service but do not guarantee uninterrupted access.

AI generation, rendering and publishing may depend on external providers and their availability, policies and technical limitations.

We may modify, suspend or discontinue beta functionality, with reasonable notice where practicable.

10. Projects, Storage and Deletion

Projects and generated media are retained until you delete them in Oxalume or ask us to, subject to the Privacy Policy and applicable operational or legal requirements.

You are responsible for maintaining independent copies of important videos.

Deleting a project from Oxalume does not automatically delete content previously published to YouTube or another external platform.

11. Intellectual Property

Digital Alchemy LLC and its licensors retain their rights in the Oxalume name, website, software, interface and related materials.

These Terms do not grant you ownership of the platform's software or branding.

You must respect the intellectual property rights of other users, providers and third parties.

12. Disclaimers

To the extent permitted by applicable law, Oxalume is provided on an "as available" and "as is" basis.

We disclaim warranties that cannot reasonably be provided for experimental AI services, including warranties concerning uninterrupted operation, error-free results, factual accuracy or fitness for a particular purpose.

Nothing in these Terms excludes warranties or consumer protections that cannot legally be excluded.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Digital Alchemy LLC's aggregate liability arising from the Service will not exceed the greater of:

US$100; or
The amount you paid Digital Alchemy LLC for Oxalume during the 12 months preceding the event giving rise to the claim.

This limitation does not apply where prohibited by law, including to liabilities that cannot lawfully be limited.

14. Termination

You may stop using Oxalume and request deletion of your account and content.

We may suspend or terminate access for material violations of these Terms, security risks or legal requirements.

Upon termination, data will be handled according to the Privacy Policy and applicable retention obligations.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without overriding mandatory consumer or data-protection laws that apply to you.

Subject to mandatory jurisdiction rules, the proposed forum is the competent courts of the State of Delaware. [DISPUTE FORUM UNDER LEGAL REVIEW]

16. Changes to These Terms

We may update these Terms as the Service develops.

We will provide appropriate notice of material changes, and obtain renewed agreement when required by applicable law.
